Article I – Club Name and Insignia
The official name of the club is Retread Motorcycle Club International, Inc., and its members are referred to as “RETREADS®”. The official club insignia is detailed in Article X and serves as an identifier among members while traveling or attending events. This insignia and the “RETREADS®” designation are registered trademarks and may not be lent, given, or sold to non-members.
Article II – Membership
Membership in the club is open to:
- Motorcycle riders, individuals involved in the motorcycle industry, or enthusiasts.
- Individuals 40 years of age or older (spouses of members are exempt from the age requirement).
- There are no restrictions on race, creed, sex, or nationality.
Membership Renewal
- Membership is renewed annually (January 1st – December 31st).
- Members receive a new membership card upon renewal, which must be presented at club rallies and events.
Revocation of Membership
- Membership may be revoked by the President with Board approval for any actions deemed detrimental to the club’s public image or the safety and well-being of members or the general public.
Article III – Regional Clubs
- Regional clubs may be formed with approval from the President and Board of Directors.
- If approved, a Regional Director is appointed by the President.
- Regional Directors may appoint or remove State and Area Representatives, who report to them.
- All representatives must relinquish their positions back to the Regional Director upon departure, and Regional Directors must return their roles to the President.
Article IV – Club Finances
- The club is funded by membership donations to cover operational costs.
- Minimum annual donation:
- $20 per individual
- $25 per couple
- Canadian members follow a rate set by the Canadian Directors.
Financial Authority
- Only the President, Secretary, and Regional Directors (or their appointed representatives) are authorized to:
- Receive membership donations.
- Handle financial transactions and pay expenses.
- Regional and state clubs are required to support the international organization with a $2.00 per member annual contribution.
Article V – Board of Directors
Section 1: Governance
- The President, with the Board of Directors, manages the club’s operations.
Section 2: Board Structure
- The Board consists of seven (7) Directors.
- Each Director serves until a successor is appointed.
- Vacancies are filled by remaining Board members.
Section 3: Meetings
- Board meetings are held as needed, with time and location determined by resolution.
- Virtual/Phone Meetings:
- Board meetings may be conducted via telephone conference.
- Any actions requiring a vote must be confirmed in writing by each Board member.
Section 4: Quorum
- A majority of Directors is required to conduct official business.
Section 5: Compensation
- Board members serve without compensation.
Section 6: Dissent Policy
- A Director who opposes an action must:
- Have their dissent recorded in the meeting minutes.
- Submit a written dissent to the Secretary before adjournment or by mail immediately after.
Article VI – Officers
Section 1: Leadership Structure
The club’s officers include:
- President
- Secretary
- Legislative Officer
- Referee
Each officer is appointed by the Board of Directors.
Section 2: Removal of Officers
- Officers may be removed by the Board if deemed in the club’s best interest.
- Removal does not affect any contractual rights.
Section 3: Officer Vacancies
- Any vacant position is filled by Board appointment.
Section 4: Responsibilities of Officers
President
- Acts as the chief executive officer and oversees the club’s business and activities.
- Presides over meetings and represents the club in official matters.
- Authorized to sign documents and contracts approved by the Board.
Secretary
- Maintains corporate records and the official club seal.
- Ensures proper documentation and execution of all official documents.
Section 5: Officer Salaries
- Officers do not receive salaries.
Article VII – Political and Organizational Affiliations
- The club is strictly non-political.
- The club will only affiliate with the American Motorcycle Association (AMA).
- Club officers cannot hold office in any other national motorcycle organization.
Article VIII – Official Mailing Address
- The President’s mailing address serves as the club’s official address:

Article IX – Amendments to Bylaws
- Bylaws may be modified, added, or removed by a majority vote of the Board of Directors.
Article X – Retreads Crest and Insignia
The Retreads Crest represents the identity and values of the club.
Symbolism of the Crest:
- Gold Field: Represents the Golden Years of members aged 40+.
- Red Field with Stallions: Stands for valor, strength, and camaraderie.
- Bar Sinister (Black & Blue Diagonal Stripe): Reflects lessons learned through riding.
- White Field: Symbolizes purity of mind and the excitement of new experiences.
- Red Roman Numerals “XL Plus”: Represents members aged 40 and over.
- Blue Overbar: Indicates the state or province of the member.
🛡️ Trademark Protection
- The Retreads Crest and Name (“RETREADS®”) are registered trademarks in the United States and Canada.
- Members must not lend, give, or sell the crest or insignia to non-members.
